Provider: Vertico Solutions Private Limited
These Terms and Conditions govern the professional relationship and expected conduct between clients and employees, contractors, or representatives of Vertico Solutions Private Limited ("the Company"). By engaging with us, the client agrees to maintain respectful, lawful, and professional interactions at all times.
1. Professional Conduct
- Clients and Company personnel are expected to interact respectfully and courteously in all communications — verbal, written, or in-person.
- Abusive, threatening, discriminatory, or offensive language or behavior will not be tolerated under any circumstances.
2. Communication Channels
- All official communication must be conducted through authorized company platforms (e.g., company email, approved WhatsApp numbers, or project management tools).
- Direct or unauthorized communication with staff on personal numbers or outside agreed hours is discouraged unless previously agreed upon.
3. Respect for Time and Process
- Clients must adhere to agreed timelines for feedback, payments, and provision of materials/content.
- Repeated delays, unresponsiveness, or last-minute changes may result in project rescheduling, additional charges, or termination of service.
- Staff are expected to respond within reasonable working hours; clients must respect time boundaries and avoid demanding after-hours communication unless part of the service agreement.
4. Confidentiality and Trust
- All information shared between the Company and client must be treated as confidential unless otherwise agreed in writing.
- Clients are not permitted to solicit or attempt to hire Company staff or subcontractors directly for personal or competing projects without written consent from management.
5. Conflict Resolution
- Any disputes or concerns must be raised through proper channels (e.g., account manager or support email).
- Verbal abuse or social media defamation will be grounds for immediate termination of services.
- The Company is committed to resolving disputes professionally and expects the same from clients.
6. Breach of Conduct
- Any violation of these terms may lead to:
- Formal warning(s)
- Suspension or termination of services
- Legal action in severe cases (e.g., harassment, threats, defamation)
7. Amendments
- These terms may be updated at any time. Clients will be notified of significant changes.
- Continued engagement with Company personnel after changes implies acceptance of the updated terms.
Domain Registrations, Renewals, Transfers, and Deletions – Terms & Conditions
These Terms & Conditions govern the use of domain name services provided by Vertico Solutions Private Limited, including the registration, renewal, transfer, and deletion of domain names under both .zw (through ZISPA) and international domains (through ICANN-accredited registrars).
By registering or managing a domain with us, you ("the client") agree to the following:
1. Domain Registration
- For .zw domains, registration is subject to ZISPA policies and the approval of the relevant ZISPA-accredited registry (e.g., for co.zw, org.zw, ac.zw).
- For global domains (.com, .org, .net, etc.), registration is subject to ICANN rules and the policies of the chosen global registrar.
- Domain availability is not guaranteed until confirmed by the registry.
- You are responsible for ensuring your chosen domain does not infringe on trademarks or violate third-party rights.
- Domain names may be registered for a minimum of 1 year and a maximum of 10 years, depending on the extension.
- All registrations are non-refundable once processed and submitted.
2. Domain Renewals
- It is your responsibility to ensure timely renewal before the domain's expiration date.
- A grace period of up to 30 days may be provided, but this is not guaranteed.
- We will send renewal reminders via email, but we are not liable for expired domains due to missed communications or outdated contact information.
3. Domain Transfers
- .zw domains may require written authorization and administrative approval for transfers between registrars or entities, per ZISPA guidelines.
- Global domains require an EPP/Auth code, domain unlock, and valid WHOIS email for successful transfer.
- Domains may not be transferred within 60 days of initial registration or a previous transfer (per ICANN policy).
- All transfers must comply with the policies of the current and receiving registrar. Failed or delayed transfers due to incorrect information are not our responsibility.
4. Domain Deletions
- Failure to renew a domain may lead to suspension, deletion, or public availability.
- .zw domains not renewed in time may be manually deleted by the registry with no guarantee of recovery.
- Global domains may enter a Redemption Grace Period (RGP), during which recovery is possible for an additional fee.
- Once a domain is fully deleted by the registry, it becomes publicly available and cannot be recovered.
5. Client Responsibilities
- Provide accurate, up-to-date WHOIS information, as required by ZISPA or ICANN.
- Maintain valid contact details to receive domain notifications.
- Use registered domains for lawful purposes only. We reserve the right to suspend or cancel domains used for abuse, fraud, or illegal activities.
6. Registry Compliance
- All domain registrations and renewals are governed by the policies of the relevant registry:

- ICANN and affiliated registrars for global domains: [www.icann.org](https://www.icann.org)
- By using our services, you agree to comply with these governing bodies' rules and dispute resolution mechanisms (e.g., UDRP for global domains).
Hosting Services
By subscribing to our hosting services, you (“the client”) agree to be bound by the following terms and conditions, which govern your use of all hosting services provided by us.
1. General Overview
These terms apply to the following services:
- Shared Web & Email Hosting
- Reseller Hosting
- Virtual Private Server (VPS) Hosting
- Cloud Hosting
Each hosting type has specific usage policies and limitations, described below. All services are subject to compliance with applicable laws, our Acceptable Use Policy (AUP), and fair resource usage.
2. Account & Usage
- Clients are responsible for all content and activity on their hosting accounts.
- Login credentials must be kept secure. We are not liable for unauthorized access due to weak or compromised passwords.
- Use of hosting for phishing, spamming, hacking, or any illegal content is strictly prohibited.
3. Shared Hosting & Email Hosting
- Resources (CPU, RAM, bandwidth) are shared among users; overuse may lead to throttling or suspension.
- Email accounts must not be used for bulk mailing or unsolicited campaigns without prior approval.
- Any account found sending spam or using blacklisted IPs may be immediately suspended.
- We reserve the right to scan and monitor emails for spam or malware protection.
4. Reseller Hosting
- Resellers are responsible for managing their end users’ content, billing, and support.
- Abuse or violation by a reseller’s client may lead to suspension of the reseller account.
- Resellers must ensure their clients adhere to our AUP and these terms.
5. VPS Hosting
- VPS clients have dedicated resources and root access.
- You are responsible for maintaining your server, software, and security patches unless managed service is provided.
- High CPU or bandwidth abuse impacting neighboring nodes may be throttled or suspended.
- Misuse (e.g., DDoS scripts, crypto mining, torrent hosting) is prohibited.
6. Cloud Hosting
- Scalable infrastructure allows flexible resource usage based on plan.
- Services may be automatically scaled or billed based on usage (depending on selected package).
- Clients are responsible for configuring their cloud instances or choosing managed service plans.
7. Backups & Data Loss
- We perform routine backups for shared and reseller hosting, but clients must maintain their own backups.
- VPS and Cloud Hosting clients are responsible for their own backup strategy unless a managed backup plan is purchased.
- We are not liable for data loss due to user error, hacking, or hardware failure.
8. Billing & Suspension
- All services are billed in advance (monthly/annually).
- Late payments beyond 7 days of the due date may result in automatic suspension.
- Accounts unpaid for more than 30 days may be permanently terminated with data loss.
- Refunds are subject to our refund policy and do not apply to domain registrations or third-party services.
9. Service Uptime
- We strive to maintain 99.9% uptime across all hosting services.
- Scheduled maintenance will be announced in advance; emergency maintenance may occur without prior notice.
10. Termination
- Services may be terminated by the client or provider with notice.
- Violations of these terms or abusive activity may result in immediate suspension or termination without refund.
- Upon termination, all data may be deleted and unrecoverable.
11. Limitation of Liability
- Vertico Solutions Private Limited shall not be held liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use our services, including but not limited to loss of data, loss of profits, business interruption, or reputational damage, even if we have been advised of the possibility of such damages.
- While we strive to provide reliable and secure services, Vertico Solutions Private Limited does not guarantee uninterrupted or error-free service, nor do we guarantee that any data or information provided or stored through our services will be completely secure or free from loss, corruption, or unauthorized access.
12. Policy Changes
- We reserve the right to modify these terms at any time.
- Continued use of the service after such changes constitutes your acceptance of the revised terms.
Terms and Conditions – Website Development & Graphic Design Services
Provider: Vertico Solutions Private Limited
These Terms and Conditions govern the relationship between Vertico Solutions Private Limited (“we”, “our”, or “us”) and the client (“you”) regarding website development and graphic design services.
1. Scope of Services
We offer professional:
- Website Development: Including front-end/back-end coding, CMS integration (e.g., WordPress), e-commerce functionality, responsive design, and basic SEO.
- Graphic Design: Including logos, flyers, social media graphics, banners, business cards, and branding materials.
Project scope, deliverables, timelines, and pricing will be outlined in a formal quotation or service agreement prior to commencement.
2. Client Responsibilities
- Provide all necessary content (text, images, logos) and project information in a timely manner.
- Respond to feedback requests or approvals within agreed timelines.
- Ensure any third-party materials provided (fonts, images, etc.) are properly licensed.
3. Payment Terms
- A 60% deposit is required before the project begins, with the balance due upon completion or before final handover.
- Delays in payment may result in project pause, delayed delivery, or withholding of final files.
- The final files may be deleted after 30 days and a recover fee may be charged thereafter.
- All payments are non-refundable once work has commenced, unless otherwise agreed.
4. Revisions
- Projects include up to 2 rounds of revisions. Additional revisions may incur extra charges.
- Revisions must be based on the original brief. Major changes outside scope will require a new quote.
5. Turnaround Time
- Timelines will be provided with each project proposal.
- Delays caused by the client (late content, feedback, or payment) may push delivery deadlines.
6. Ownership & Licensing
- Final designs and websites become the property of the client after full payment.
- We reserve the right to display work in our portfolio for promotional purposes.
- All source files (e.g., PSD, AI, code) may be provided at an extra cost unless specified in the agreement.
7. Website Hosting & Maintenance
- Hosting, domain registration, and ongoing maintenance are separate services unless included in the package.
- We are not responsible for downtime, loss of data, or security breaches on third-party hosting platforms.
8. Termination
- Either party may cancel the project with written notice.
- If terminated before completion, the client will be billed for work completed up to that point.
- No refunds will be issued for completed stages.
9. Liability & Warranty
- We are not liable for any loss, damage, or profit loss resulting from the use or failure of your website or graphics.
- Websites are delivered in working order; however, we do not guarantee future compatibility with browser or software updates unless under a maintenance contract.
10. Confidentiality
- All client information and materials will be kept confidential and not shared without permission.
- Likewise, the client agrees not to disclose any proprietary methods or pricing.
11. Policy Changes
- We reserve the right to update these terms at any time. Updates will be posted on our website or sent via email.
Terms and Conditions – Social Media Management, Online Marketing, SEO & Website Maintenance
Provider: Vertico Solutions Private Limited
These Terms and Conditions govern all services provided by Vertico Solutions Private Limited to clients engaging us for Social Media Management, Online Marketing, Search Engine Optimization (SEO), and Website Maintenance.
1. Service Scope
a. Social Media Management
We manage content creation, scheduling, posting, engagement, and basic ad management on agreed social platforms. Performance depends on platform algorithms and client input.
b. Online Marketing
Includes paid advertising (e.g., Facebook/Google Ads), campaign design, audience targeting, and reporting. Ad spend is separate from service fees.
c. SEO (Search Engine Optimization)
Includes on-page and off-page optimization, keyword targeting, technical audits, link building, and performance tracking. SEO is a long-term strategy; no guarantees are made for top rankings.
d. Website Maintenance
Includes updates to CMS, plugins, themes, performance monitoring, backups, malware scans, and minor content changes as per package.
2. Client Responsibilities
- Provide timely access to accounts (social media, website, hosting, etc.).
- Supply all necessary content (images, branding materials, business info).
- Approve campaigns and content within agreed timelines.
- Maintain active communication throughout the service period.
3. Payment Terms
- Services are billed monthly, quarterly, or annually as agreed.
- A minimum one-month upfront payment is required to begin work.
- Late payments beyond 7 days may result in paused services.
- Campaign budgets (ad spend) are billed separately and paid in advance.
4. Performance and Guarantees
- We commit to using industry best practices to improve visibility and engagement.
- However, we do not guarantee specific results, such as follower counts, leads, or first-page rankings due to variables beyond our control (algorithm changes, competition, market shifts).
5. Cancellations & Termination
- Either party may terminate services with 30 days' written notice.
- Fees paid for ongoing or current campaigns are non-refundable.
- Upon termination, all content, data, and account access must be returned or transferred appropriately.
6. Confidentiality
- We respect the confidentiality of your business information, logins, strategy, and campaigns.
- The client agrees not to share internal strategy documents or proprietary tools with third parties without permission.
7. Intellectual Property
- All graphics, content, and campaigns developed by us remain our property until full payment is received.
- Upon full payment, intellectual property rights are transferred to the client unless otherwise stated.
8. Website Maintenance Specifics
- Maintenance covers routine updates, monitoring, and minor content changes.
- It does not include redesign, major development, or new feature integrations (these are quoted separately).
- We are not liable for issues resulting from third-party plugin updates, expired licenses, or client-made changes.
9. Limitation of Liability
- We are not liable for indirect, incidental, or consequential damages.
- Our maximum liability is limited to the total fees paid for the service month in question.
10. Amendments
- These terms may be updated at any time. Notice will be provided via email or on our website.
- Continued use of our services implies acceptance of the updated terms
Refund Policy – Website Design, Domain, Hosting, SEO & Online Marketing Services
Provider: Vertico Solutions Private Limited
This Refund Policy outlines the conditions under which refunds may be issued for services provided by Vertico Solutions Private Limited. By engaging our services, you agree to the following terms.
1. Website Design & Development Services
- A 60% deposit is required before work begins. This deposit is non-refundable once the project is initiated.
- If the project is cancelled before any work starts, a partial refund may be issued at our discretion.
- No refunds will be issued after:
- Work has commenced.
- Client delays exceed 30 days with no communication.
- Final files or website access has been delivered.
2. Domain Services (Registration, Renewal, Transfer)
- No refunds will be issued for domain registration, renewal, or transfer once processed.
- Domains are purchased through third-party registries and are non-reversible.
- It is the client’s responsibility to provide correct domain information during ordering.
3. Hosting Services
- Monthly hosting plans are non-refundable once activated.
- For annual hosting plans, a pro-rated refund may be considered within the first 14 days, excluding any setup or domain-related fees.
- No refunds will be issued for:
- Accounts suspended due to AUP or TOS violations.
- Service interruptions caused by client misuse or third-party issues.
4. SEO Services
- SEO is a long-term strategy; thus, no refunds are provided once work has started.
- SEO deliverables such as audits, backlinks, or optimization reports are considered billable once delivered.
- Clients must allow at least 90 days to assess SEO performance before disputing results.
5. Online Marketing Services (Social Media & Paid Ads)
- Marketing service fees (management, content creation, etc.) are non-refundable once the campaign begins.
- Ad budgets paid directly to platforms (e.g., Facebook, Google) are non-refundable and governed by those platforms' refund policies.
- If a campaign is cancelled early by the client, no refund will be issued for remaining days of service already allocated.
6. General Conditions
- Refunds are only issued to the original payment method used.
- Chargebacks or payment disputes may result in immediate service suspension and legal recovery of outstanding balances.
- We reserve the right to refuse refunds if we believe the request is fraudulent or abusive.
